Purpose and Scope

Whereas Mesocore is establishing a network of certified dealers to promote and distribute its ADU products, and whereas you, an experienced contractor, seek to become an authorized Mesocore dealer, you are invited to submit this agreement and the accompanying dealer application for evaluation. Upon approval, you will be authorized to act as a certified dealer for a trial period of one (1) year.

Dealer Rights and Responsibilities

As a Mesocore Certified Dealer, you will be granted the following rights:

•Purchase Mesocore ADU products at the discounted pricing outlined in Appendix A.

•Publicly represent yourself as an authorized Mesocore dealer.

•Utilize Mesocore designs, engineering drawings, and approvals to secure permitting.

•Utilize all Mesocore logos,

•Directly purchase units from Mesocore.

•Promote, sell, install, and support the complete installation of Mesocore ADUs in a professional manner.

Dealer Obligations

As a Mesocore Certified Dealer, you agree to:

1. Buy, sell, and install Mesocore ADUs in a professional manner, adhering to all applicable laws and Mesocore guidelines.

2. Not modify or rebrand Mesocore products without prior written consent. All promotion shall reference the "Mesocore" name in a positive and accurate manner.

3. Utilize Mesocore’s name, logo, literature, engineering drawings, and approvals exclusively for marketing, permitting, and installation of Mesocore products. All such materials remain the sole property of Mesocore and must be kept confidential.

4. Follow up on all sales leads received for Mesocore ADUs in a timely and professional manner.

Mesocore Commitments

•Supply ADU units at the Dealer discounted pricing. MSRP pricing in Appendix A. Dealer discount is 10% off posted MSRP. Pricing subject to change.

•Provide training and technical support for proper installation, including on-site assistance upon request and at reasonable cost.

•Provide all available logos, brochures, drawings, and technical materials for sales, permitting, and installation.

•Refer leads generated through Mesocore’s marketing channels on a non-exclusive basis within your service area.

•Avoid circumventing or competing with your established customer relationships or sales efforts, and instead support you in project fulfillment.

•Respect your right to pursue non-Mesocore projects where our product may not be suitable due to access or permitting limitations.
